We are pleased to provide this Contract between you, your representative, your users and or your contact  in using our website’s ecommerce and or make purchases with us, The Vine House Pte Ltd UEN 202103771D Website: www.thevinehouse.com.g having its registered address at 39 Woodland Close #08-84, MEGA@WOODLANDS, Singapore 737856.  As included in this agreement, we strongly urge you to read this terms and conditions carefully before making any customer registration, membership registration and or log in to our website or placing purchases with us. By completing the customer registration process and/or placing an order on the Company’s website and or on our retail’s store, you acknowledge that you have read and understood the terms and conditions of this Agreement and agree to be bound by the same.

 

Guests & Users

You may access or use our website as a guest or register as users, by providing your name, email and password. If you order our products, you will enter your delivery address and there by create a personal account under your name. You must keep your password secure as you are responsible for any activity on your account. You agree to notify us immediately if you become aware of any security breach or any unauthorised use of your password or account.

 

Password

On registration, you will create your own password for your account, you must not disclose to or share this password with anyone, you are responsible for any activities on your account and You agree to notify us immediately if you become aware of any security breach or any unauthorised use of your password or account. If we has reason to believe there has been a breach of security or misuse of its website, the Company may require you to change your password or may suspend your account without notice.

 

Pricing & Payment Fulfilment

When buying an item, you agree that: (i) you are responsible for reading the full item listing before making a commitment to buy it: (ii) you enter into a legally binding contract to purchase an item when you commit to buy an item and you complete the check-out payment process.
The prices we charge for our products are listed on the website. We reserve the right to change our prices for products displayed at any time, and to correct pricing errors that may inadvertently occur. Additional information about pricing and sales tax is available on the payments page. All product’s pricings do not include delivery charges. You shall make full payment for the Goods upon placement of your order on the Company’s website and You will receive our email as soon as practicable confirming our receipt of your order.  Delivery of your order will only be made once full payment for the Goods has been received by the Company.

 

Electronic transmission

As you place your order from the website to us, as we place the greatness care possible to service your order we shall not be responsible for reasons beyond either parties' reasonable control when the order or payment may not be received including but not limited to, electronic failure, mechanical, software, computer, or telecommunications failure, or the omission or failure of third party website providers or systems. At the same time, we will act on and process all completed electronic instructions communicated or issued through the website without further consent to you as we treat an electronic instruction as authentic and is under no obligation to inspect the authenticity or authority of persons issuing or transmitting such electronic instructions, or to verify the accuracy and completeness of such electronic instructions.

Our Rights on stocks

We at our discretion, could accept or reject any order made by you for any reason (or no reason), including an error in the advertised price for, or description of, goods or services on the website, or in the event of insufficient stocks of the relevant order and or error of any kind in or relating to your Order. We will notified you by email in that event and we will provide a full refund within 30 days if payment has been made.

 

All information made at any time about stock availability in the website are accurate to the last known stock level and are subject to change. In the event we cannot supply particular goods, beside the remedy action stated above, we will and can notify you by telephone or email as soon as possible for alternative options.

Delivery

When you selected the option for delivery, delivery address must be an address within Singapore and cannot be the following:

• Freight forwarding location.

• PO Boxes.

• Military or Army Camps,

• Any airbases.

• Off-shore Islands.

• Casinos.

• Singapore Prison Quarters,

• Changi Airport or all restricted areas

• ST Kinetics, Shipyards Powergrid.

• Jurong Island,

• Tuas Link,

• Changi Cargo,

• Country Clubs,

 

All locations to be deliver should have proper access ways, lifts, car park and pathway or walkway. Extra Charges on delivery is needed should there be constraints as in walk-up apartment or narrow walkway that reasonable access width are not possible particularly for trolley’s usages. This information should be duly given to us 1 day before delivery otherwise redelivery would need to be attempt on 2nd time and chargeable at extra cost. This 2nd time and chargeable extra delivery cost shall also apply in the event due to your provision of incorrect information of the address specified on your order or where no persons are available to take receipt of the delivery at the address specified on your order. We will not accept responsibility for delivery failures or delays particularly due to 3rd party delivery contractor.

 

Timing

We will endeavour to dispatch your orders in a timely manner within two (2) to four (4) business day during weekday excluding Public Holidays. We will contact you for an appropriate timing to deliver your order however the dates will remained an estimation/approximation and we are unable to accept any liability for failure to deliver the goods within the specified time resulting from shipment/delivery delays from our suppliers. Whilst we will try our very best to deliver your Goods by the agreed time, the Company shall not be liable if it fails to do so in part or in full due to unforeseen circumstances including but not limited to war, riot, civil commotion, malicious damage, fire, natural disasters, future law or governmental order, rule, regulation or direction, Act of God, or failure of the telecommunications provider in connection with the performance of this Agreement. In the event of no persons are available to endorse and or receive for the delivery of the Goods at the address specified on your order, the Company shall accept your instructions as stated in your order (if you do rightfully instructed) as to where to leave the Goods, and you shall bear full liability for any loss of or damage to the Goods arising therefrom. We shall not be held responsible once the goods have been delivered.

 

Packaging

We may or may not deliver the goods in its original packaging due to factors as in shipment’s condition and or vendor & suppliers different in term of specification arrangement. We reserves the right to substitute the packaging or wrapping if necessary. We as well will remove any rude or offensive remark you intended in your message for the delivery.

Receiving

All goods to be inspected and check by you, your representative or agent during receive & acceptance of the delivery. You will be required to note any damage or shortages on the delivery order (D. O.) when it is presented to you by the delivery personnel for signature. All orders will be confirmed and accepted to be received with good order’s conditions and as per purchased if nothing was highlight to us after delivery - We will not be liable for any damage on delivery to any of the goods or shortages unless we are notified immediately. You shall only own the Goods once they have been delivered to the address specified on your order and when the Company has received payment for the Goods in full. 

 

Drinking Age.

As a retailer of alcohol, by registering in our website or make purchase from us, you confirmed you are at least 18 years of age which is the legal drinking age in Singapore. As the law state that only those aged 18 and above will be able to buy and/or consume alcoholic beverages in premises licensed to sell alcohol in Singapore.

 

Intellectual Property Rights

All intellectual property rights in the company’s website are owned by the company. Any use of it’s content, whether in copy, modify, transfer, publish, reproduce, repost without the Company’s prior written consent either for the uses of personal or commercial, is explicitly prohibited. Including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of The Vine House Pte Ltd. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.

All reasonable research, care and checking are done prior to posting or advertising any content in the website. To the best of the knowledge of the website’s provider, all reasonable cares are adopted and practiced during the development of its website’s information. However, the website will be hold harmless of any inaccuracies and or mistakes as and when development of events, news and situation changed in any given information.

Return & Refund Policy

Goods may be return to us by notifying in writing within seven (7) Business Days of the date of delivery or receive of the goods, stating reason for return. All return or refund’s request shall be subject to acceptance in writing by us before return. Upon acceptance of return request, customer are to return and deliver the goods to our store within 10 days of written acceptance. Refund will be in full within 10 business days of the date of return of the physical goods. Any goods particularly alcohol product and wines at the following conditions will not be subjected for return and refund:

 

• Damaged goods, particularly torn labels & or crack bottles.

• Less than 80% full in their respective bottle.

• Bought during Promotion or special discounted products.

• Wine older than 10 years vintage.

 

All goods return especially wine will be further evaluated by in house’s wine specialist and then in our own sole and absolute discretion, final confirm to either accept or reject the return and refund’s decision. Save as set out in these terms, the customer shall not be entitled to any refund or return whatsoever, unless otherwise agreed in writing by us.

Liability

Using of our website is entirely at your own risk and all cost and responsibility including the repair of any equipment toward your computer or accessories are entirely your responsibility.  The Company shall not be liable for any damages of any kind arising from the use of its website or any websites accessible through it, including but not limited to direct, indirect, incidental, punitive or consequential damages. We exclude all liability to anyone for any lost or damage of any kind relating in any way to our website including but not limited to loss or damage you might suffer in the following:

 

• Inaccuracies on the website.

• Personal injury or property damage of any kind.

• Unauthorised access to or from the website’s server.

• Bugs, viruses, Trojan horses or other harmful code or communications transmitted to the website by any 3rd party.

 

Indemnity

You, your representative and or contact agreed to indemnify and hold us, our related corporations, and our respective managing directors, officers, employees, agents and representatives, independent contractors, licensees, successors and assigns harmless from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable legal cost, resulting from or arising out of your act, default or omission, whether in your use of our website, Services and/or any websites or software in relation thereto or otherwise under this Terms & Conditions.

 

Payment and Credit Card Fraud

We will not be responsible for all loss or damage of any kind suffered by user where a credit/debit card, PayPal account or other payment method is fraudulently used or is used in an unauthorised or improper manner.

 

Warning of Alcohol Products

Alcohol should be enjoy in moderation and responsibly, it is critical you do not operate motor vehicle or machinery after you had consume alcohol. Alcohol abuse may cause health problems and pregnant persons should not consume alcoholic beverages. We shall not be liable for any risks including but not limited to direct, indirect, incidental, punitive or consequential risks that you decide to undertake, save as herein expressly provided otherwise.

 

Provisions are Severable

should if any one or more provisions contained in this Agreement shall be deemed invalid, unlawful or unenforceable in any respect under any applicable law, the validity, legality and enforceability of the remaining provisions contained herein shall not in any way be affected or impaired.

 

Governing Jurisdiction

The parties herein submit themselves to the jurisdiction of the Courts of Singapore, for the validity, interpretation and enforcement of this Agreement and all rights, remedies, powers, obligations and liabilities hereunder as per stated.
